KnowledgeWorks Foundation

The Foundation is an Ohio private nonprofit corporation whose purpose is to assist individuals in obtaining an education.  The Foundation’s activities include grant making and direct programs to increase the number and diversity of people who value and access education by creating and improving educational opportunity at pre-kindergarten through high school and post-high school institutions and through community organizations.  The Foundation is authorized to issue bonds to provide funds for financing or refinancing the acquisition of student loans, invest the proceeds thereof, acquire eligible loans, and enter into and perform all of its obligations under its indentures.

The loans acquired by KnowledgeWorks Foundation are financed through the issuance of asset-backed bonds.  These bonds are limited obligations of the issuer and, as such, are payable solely from the student loans and other assets pledged under the applicable indenture.  The bonds do not constitute general obligations of the issuer.  The bonds are described in the Offering Memorandum for the bond issue, including information about the terms and conditions of the bonds, the underlying student loans, and certain risk factors.
